Daniel A. Losk

Daniel has experience working on Latin American transactions and is fluent in Spanish.

Before joining Morgan Lewis, Daniel was an associate in the energy and project finance practice of an international law firm in Boston, and in the project finance and infrastructure practice of another international law firm in New York City.

Prior to attending law school, Daniel worked at a strategy consulting firm, advising domestic beverage and food companies on their international market expansion into Latin America and Europe.

Fund Formation and Co-Investments

• Ares Energy Investors Funds (Ares EIF), a leading asset manager in the energy infrastructure industry, on fund formation matters and the structuring and implementation of various co-investment transactions.
• Lime Rock Management, a leading asset manager in the energy/oil and gas industry, on fund formation matters and the structuring and implementation of various co-investment transactions.
• The investment manager of a private equity fund focused on the acquisition of oil and gas mineral interests in certain US basins in connection with fund formation matters.
• The investment manager of a private equity fund focused on investments in solar power generation projects in the United States in connection with fund formation matters.

Consortia, Joint Venture and Platform Investment Transactions

• China Life Insurance Co. Ltd., China's largest insurance company, as the anchor and leading investor alongside a group of sovereign wealth funds and other investors, in connection with its $940 million investment in a platform managed by Starwood Capital and formed to acquire a portfolio of 280 select-service hotels in the United States (nominated for "Deal of the Year, North America" by PERE in its 2016 Global PERE Awards).
• The investment manager for a European global pension fund in connection with its real asset investments in the United States and Latin America, including with respect to its investment or prospective investment in (i) a nearly 400 MW wind farm being developed in Latin America, (ii) the largest privately-owned cell tower operator in the United States, (iii) gas distribution utilities in the Mid-Atlantic region, (iv) a portfolio of wind and solar energy projects in the United States, (v) a company developing various natural gas-fired and renewable energy projects in the United States, and (vi) a cell tower business in Latin America.
• A Middle Eastern investment banking, investment management and brokerage company in connection with a joint venture with a global real estate investment advisor formed for the acquisition of US industrial real estate assets (logistics & warehouses).
• Two global pension plans in connection with the formation of a platform created to hire a management team to execute a strategy to acquire airport infrastructure around the world.
• A management team in constructing a platform to attract a limited number of institutional investors to acquire operating solar assets.

M&A

• Energy Investors Funds (EIF), a leading asset manager in the energy infrastructure industry, in its sale to a subsidiary of global alternative asset manager Ares Management, L.P.
• A global renewable energy development company in its acquisition of a 33% stake of a portfolio of solar projects valued at approximately $300 million from a power and energy company in connection with the companies’ strategic partnership.
• Atlantic Power Corporation in the $347 million sale of its portfolio of wind generation projects in Idaho and Oklahoma to TerraForm Power.
• Sponsor in connection with the sale of 50% of its ownership interest in the I-595 Corridor Roadway Improvements Project in Broward County, Florida.
• Skanska Infrastructure Development AB and its affiliates in connection with the sale of its indirect 50% interest in Sociedad Concesionaria Autopista Central, S.A. – a Chilean entity which operates, manages and maintains a toll-road in Santiago, Chile under a long term concession – to Alberta Investment Management Corporation (AIMCo) for approximately $875 million.

Project Finance

• The underwriters in connection with the financing of the estimated $2.1 billion design, construction, financing, operation, maintenance, and tolling of the Downtown Tunnel/Midtown Tunnel/Martin Luther King Freeway Extension Project located in the cities of Norfolk and Portsmouth, Virginia, being developed as a public-private partnership over a concession term of 58 years by Elizabeth River Crossings Opco, LLC, which is owned indirectly by affiliates of Macquarie (50%) and Skanska (50%) (named 2012 North American Toll Road of the Year by Project Finance).
• Sponsor consortium in connection with the $1.8 billion financing of the I-595 Corridor Roadway Improvements Project in Broward County, Florida (named 2009 North American Transport Deal of the Year by Project Finance).
• GenConn Energy LLC, a joint venture of NRG Energy, Inc. and The United Illuminating Company, in connection with the $534 million construction financing of two 200 MW (nameplate) dual fuel-fired peaking power generation plants in Connecticut (named 2009 North American Portfolio Power Deal of the Year by Project Finance).
• A major financial institution, as tax equity investor, in connection with the financing of various wind projects, including (i) the Sheffield wind project (40 MW) being developed by First Wind in Vermont and (ii) the Rollins wind project (60 MW) being developed by First Wind in Maine.
